Terms of Use

Welcome to the Torch sal (“Torch.academy”, “we”, “us”, or “our”) website, www.torch.academy and any other web applications or training programs belonging to torch sal or its contractors and is embedded in the torch sal website and that can be accessed through it to including but not limited to Learnnet software (the “Site”). The following Terms of Use for the Site is a legal contract between you, an individual user or a single entity (collectively or individually “Users”), and torch sal regarding your use of the Site. Together, Users and torch sal are referred to herein individually as “Party” or collectively as the “Parties”. 

Before using the site, please read carefully the following terms of use. By registering for and/or accessing, browsing, or using the site, accessing features and programs through the site, you acknowledge that you have read, understood, and agree to be bound by the following terms, and any future modifications (collectively, the “terms”). If at any time you do not agree to these terms, please immediately terminate your use of the site.

1. Eligibility

In order to use the Site, you must be the age of majority in your jurisdiction and fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in these Terms and to abide by and comply with these Terms. If you are using or opening an account on the Site on behalf of a company, entity, or organization (the “Organization”), then you represent and warrant that you: are an authorized representative of that Organization with the authority to bind such Organization to these Terms and agree to be bound by these Terms on behalf of such Organization.

2. Amendment of the Terms

Torch sal reserves the right, at its sole discretion, to modify the Site or to modify these Terms at any time and without prior notice. All changes shall be effective immediately and at the discretion of torch sal. If we modify these Terms, we will post the modification on the Site or provide you with notice of the modification. By continuing to access or use the Site after we have modified the Terms, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only action is to cease using the Site. Torch sal encourages you to periodically review the Terms to stay informed of our updates.

3. Access to the Site

Torch sal grants you permission to use the Site as set forth in these Terms, provided that and for so long as (i) you use the Site solely for your personal use; (ii) except as expressly permitted or indicated in these Terms, you do not download, reproduce, redistribute, retransmit, publish, resell, distribute, publicly display or otherwise exploit any portion of the Site in any medium without torch sal prior written authorization; (iii) you do not alter or modify any part of the Site other than as may be reasonably necessary to use the Site for its intended purposes; (iv) you do not engage in any of the prohibited uses described below; and (v) you otherwise fully comply with these Terms.

4. No unlawful or prohibited use/intellectual property

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view any content of the Site strictly in accordance with Terms. As a condition of your use of the Site, you warrant to torch sal that you will not use the Site for any purpose that is unlawful or prohibited by these Terms in the relevant jurisdiction where you are accessing it from. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site. 
All content included as part in the Site such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of torch sal or its suppliers or business partners and is protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, or software used on the Site in whole or in part, found on the Site. Torch sal content may be referenced but it is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of torch sal and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of torch sal or our licensors except as expressly authorized by these Terms. You have no right to sublicense the license rights granted in this section.

5. User Submission

• General. The Site may now or in the future permit the submission and posting or linking of media, text, audio and video recordings, photos, commentary or any other content submitted by you and other users, including without limitation any participants in the Programs (“User Submissions”), and the hosting, sharing, and/or publishing of such User Submissions. User Submissions are not and will never be controlled by TORCH SAL. TORCH SAL makes no representations that it will publish or use your User Submissions in any way and may or may not use your User Submissions in its sole discretion. You understand that whether or not such User Submissions are published, Torch sal does not guarantee any confidentiality with respect to any User Submissions.
• Grant of Rights. By submitting User Submissions to Torch sal, you hereby grant Torch sal and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, and otherwise exploit your User Submissions in connection with the Site and Torch sal’s (and its successor’s) business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels now known or hereafter discovered. You grant Torch sal and its affiliates and sublicenses the right to use the name that you submit in connection with such User Submission if they choose. You also agree to irrevocably waive (and cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Submissions. You also hereby grant to each user of the Site a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, prepare derivative works of, display, and perform such User Submissions but only to the extent permitted by the functionality of the Site and these Terms.
• Your Representations and Warranties Regarding User Submissions. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Torch sal to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Submissions to enable inclusion and use of User Submissions in the manner contemplated by Torch sal and these Terms, and to grant the rights and license set forth in this section, and (ii) your User Submissions, Torch sal’s use of such User Submissions pursuant to these Terms, and Torch sal’s exercise of the license rights set forth in this Section, do not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) violate any applicable law or regulation.
• Prohibited Uses of User Submissions. In connection with your User Submissions, you further agree that you will not publish, post, submit, transmit through or otherwise make available to the Site: (i) any falsehoods or misrepresentations that could damage Torch sal or any third party; (iii) any material which is unlawful, defamatory, libelous, slanderous, pornographic, obscene, abusive, profane, vulgar, sexually explicit, threatening, harassing, harmful, hateful, racially or ethnically offensive or otherwise objectionable, or which encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law or any right of privacy or publicity, or is otherwise inappropriate; (iv) advertisements or solicitations of business, products, or services; or (v) any material that would be harmful to minors in any manner.

6. No Endorsement

You understand that when using the Site you will be exposed to User Submissions and other third party content or information (together the “Non-torch sal Content”) from a variety of sources, and that you may be exposed to Non-torch sal Content that is inaccurate, offensive, indecent, or otherwise objectionable. Torch sal does not endorse any Non-torch sal Content or any opinion, recommendation, or advice expressed therein. Under no circumstances in any jurisdiction will torch sal be liable in any way for or in connection with the Non-torch sal Content, including, but not limited to, for any inaccuracies, errors or omissions in any Non-torch sal Content, any intellectual property infringement with regard to any Non-torch sal Content, or for any loss or damage of any kind incurred as a result of the use of any Non-torch sal Content posted, emailed or otherwise displayed, communicated, transmitted through or in connection with the Site, including any information provided by any participant in the torch sal boot camp or enabler program.
torch sal and its designees shall have the right (but not the obligation) in their sole discretion to refuse to post or remove any Non-torch sal Content that is available on the Site in whole or in part at any time for any reason or no reason, with or without notice and with no liability of any kind.

7. Disputes with Others

We reserve the right, but have no obligation, to monitor and/or manage disputes between you and other Users. If you have a dispute with other Users, you release torch sal and hereby agree to indemnify the torch sal from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

8. Account information

In order to access some features, services and content of the Site reserved for participants in the following programs (the “Programs”):

• The Boot Camp Program including related e-learning software
•  The Training Hub Program
• The Business Enabler Platform Program
• The Research Link Program

The User will have to register for an account (the “Account”), apply online for enrolment in, and be accepted into, one or more of the Programs and pay any and all applicable fees associated therewith and may access software for e-learning or e-etraining that is owned by us or provided by our suppliers and business partners (such Users, the “Registered Users”). You represent and warrant that the information you provide to torch sal upon registration and, at all other times, will be true, accurate, current, and complete. You also represent and warrant that you will ensure that this information is kept accurate and up-to-date at all times. You acknowledge, consent, and agree that torch sal may access, preserve and disclose your account information and User Submission, for us in the Programs or otherwise, as permitted pursuant to our privacy policy terms.
The Programs is proposed for private use only. Any other use is strictly prohibited. If you are a Registered User, you agree not to copy, publish, or in any way make available the content of any Programs to non-Registered Users. You also agree not to copy, publish, or in any way make available the graphics, modules, pages or content of any e-learning software other Users.

9. Password

If you register or apply online you will be asked to provide a password. As you will be responsible for all activities that occur under your password, you should keep your password confidential. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. If you have reason to believe that your account is no longer secure, you shall immediately notify torch sal. You may be liable for the losses incurred by torch sa or others due to any unauthorized use of your account

10. Right of torch sal

• torch sal may, but is not required to, monitor or control the User Submission posted via the Site. Our failure to exercise that right, however, does not give the User any right to make a claim against torch sal.
• torch sal reserves the right to discontinue the Site or to change the content of the Site in any way and at any time, with or without notice to User, without liability.
• torch sal reserves the right to terminate the access to the Site and its services without notice.
• We may delete your account for any reason or for no reason at all, and if we delete your account you will lose all access to any information, connections or other features that may have value to you that may have been associated with your account.
• torch sal has the right to refuse registration of, or cancel your Account in its discretion for any reason or for no reason. In addition, torch sal reserves the right at all times (but will not have an obligation) to remove or refuse to distribute any content on the Site and to terminate users or reclaim usernames. We also reserve the right to access, read, preserve, disclose, use of any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce this agreement (including investigation of potential violations hereof), (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to User support requests (v) protect the rights, property or safety of torch sal, its Registered Users and its Users, or (iv) for statistics, marketing, communication and training purpose
• Without limiting the generality of the foregoing, you specifically acknowledge that torch sa has the right to terminate or limit your Account for any reason or no reason at all. Any content that has been uploaded through the Site may be deleted at any time without notice to you. Torch sal is exempt from liability to any person for any claim based upon its termination of an account or disabling of access to or removal of any content, including material it believes, in its sole discretion to violate this agreement, regardless of whether the material ultimately is determined to be infringing or otherwise prohibited, and regardless of whether such termination or disabling has the effect of reducing the value of any content or opportunities that might otherwise have been available to you. By using the Site, you agree that notice to you through an email to the email address you provided in your profile constitutes reasonable efforts to notify you of any removal or disabling if such notice is required.

11. User Conduct

• You agree not to reproduce, duplicate, copy, sell, trade, resell, distribute, or exploit any portion of the Site, use of the Site, access to the Site, Programs’ content, or Non-torch sal Content, obtained through the Site, for any purpose other than for your personal use.
• You agree not to use the Site if you do not meet the eligibility requirements.
• You agree not to violate any local, state, provincial, national, or other law or regulation, or any order of a court.
• You agree not to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
• You agree not to publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
• You agree not to upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; advertise or offer to sell or buy any goods or services for any business purpose, unless the Site specifically allows such messages.
• You agree not to conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another User that you know, or reasonably should know, cannot be legally distributed in such manner.
• You agree not to falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other User from using and enjoying the Site.
•  You agree not to use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” any web pages or other services contained in the Site or in User Submissions.
• You agree not to use the Site for any commercial or other purposes that are not expressly permitted by these Terms.
• You agree not to use the Site in connection with the distribution of unsolicited commercial email (“spam”).
• You agree not to register for more than one Account or register for an Account on behalf of an individual other than yourself.
• You agree not to systematically retrieve data or other content from the Site or the Programs or Software to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise.
• You agree not to use, display, mirror or frame the Site or any individual element within the Site, torch sal name, any torch sal trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without torch sal express written consent.
•  Access, tamper with, or use non-public areas of the Site or torch sal computer systems or servers, or the technical delivery systems of torch sal providers.
• Attempt to probe, scan, or test the vulnerability of any torch sal system or network or breach any security or authentication measures.
•  Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by torch sal or any of torch sal providers or any other third party (including another user) to protect the Site, the Programs and/or the User Submissions.
• You agree not to forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site, the Programs or User Submissions to send altered, deceptive or false source-identifying information.
•  You agree not to attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site used in the Site or through the Site, the Programs or User Submissions.
• You agree not to advocate, encourage, or assist any third party in doing any of the foregoing.
• You agree not to deep-link to the Site and will promptly remove any links that torch sal finds objectionable in its sole discretion. You agree not to use any torch sal logos, graphics, or trademarks as part of the link without our express written consent.
•  You agree not to make unsolicited offers, advertisements, proposals, or send junk mail or spam to other Users of the Site. This includes, but is not limited to, unsolicited advertising, promotional materials or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures.
• You agree not to modify, adapt, translate, or create derivative works based upon the Site or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• You agree not to impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

12. Disclaimers and Limitation of Liability

You expressly acknowledge that as used in this section 12, the term torch sal includes torch sal officers, directors, employees, shareholders, agents, affiliates, and subcontractors.
To the fullest extent permissible pursuant to applicable law, torch sal disclaims all warranties, statutory, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement of proprietary rights. No advice or information, whether oral or written, obtained by you from torch sal through the Site or the programs, will create any warranty not expressly stated herein.
You expressly agree that the use of the Site and, if applicable, your enrollment in the program and use of Software through the Site, is at your sole risk. The Site, user submissions, non-torch sal content, and any other third-party media, content, software, services, reference sites, or applications made available in conjunction with or through the Site and/or the programs are provided on an “as is” and “as available”, “with all faults” basis and without warranties or representations of any kind, either express or implied.
Torch sal does not warrant that the materials, user submissions, non-torch sal content, site, reference site, or any other information offered on or through the Site, the programs, or any reference sites will be uninterrupted, or free of errors, viruses, or other harmful components and does not warrant that any of the foregoing will be corrected.
Torch sal does not warrant or make any representations regarding the use or the results of the use of the Site, the programs, or any reference sites in terms of correctness, accuracy, reliability, or otherwise.
You understand and agree that you use, access, download, or otherwise obtain information, materials, or data through the Site (including rss feeds) or any reference sites at your own discretion and risk and that you will be solely responsible for any damage to your property (including your computer system) or loss of data that results from the download or use of such material or data.

13. Limitation of Liability

Under no circumstances, and under no legal theory, including, but not limited to, negligence, shall torch sal or its affiliates, contractors, employees, agents, or third party partners or suppliers, be liable for any special, indirect, incidental, consequential, or exemplary damages (including without limitation, loss of profits, data or use or cost of cover) arising out of or relating to these terms or the programs, or that result from your use or the inability to use torch sal materials and user submissions on the site or any reference sites, the site itself, or any other interactions with torch sal, even if torch sal or torch sal authorized representative has been advised of the possibility of such damages.
In no event shall torch sal or its affiliates, contractors, employees, agents, or third party partners, licensors or suppliers’ total liability to you for all damages, losses, and causes of action arising out of or relating to these terms or your use of the site (whether in contract, tort (including negligence), warranty, or otherwise) exceed the greater of one hundred dollars ($100 usd) or fees (if any) paid by you in the twelve (12) months immediately preceding the claim.

14. Indemnification

You agree to indemnify, defend and hold harmless torch sal, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site, your User Submissions, the Programs content, your creation of an Account, your violation of any terms of the Terms or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Torch sal reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with torch sal in asserting any available defense.

15. Termination

We may, in our discretion and without liability to you, with or without cause, with or without prior notice and at any time: (a) terminate these Terms or your access to our Site, and (b) deactivate or cancel your Account. In the event torch sal terminates these Terms, or your access to our Site or deactivates or cancels your Account you will remain liable for all amounts due hereunder. Please note that if your Account is cancelled, we do not have an obligation to delete or return to you any content or User Submissions you have posted to the Site.

16. Linked Sites

The Site may contain links to other websites (“Linked Sites”) that are not under the control of torch sal. torch sal is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Torch sal is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by torch sal of the site or any association with its operators. 
Certain services made available via the Site are delivered by third party sites and organizations. By using any product, service or functionality originating from the Site, you hereby acknowledge and consent that torch sal may share such information and data with any third party with whom torch sal has a contractual relationship to provide the requested product, service or functionality on behalf of the Users. 

17. Copyright Policy

Torch sal respects copyright law and expects its users to do the same. It is torch sal policy to terminate in appropriate circumstances the Accounts or other account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders.

18. Entire Agreement

The provisions and conditions of these Terms, and each obligation referenced herein, represent the entire agreement between torch sal, its affiliated or related entities, and you, and supersede any prior agreements or understandings not incorporated herein. In the event that any inconsistencies exist between these Terms and any future published terms of use or understanding, the last published Terms or terms of use or understanding shall prevail.

19. Applicable Law

These Terms will be interpreted in accordance with the laws of Lebanon, without regard to its conflict-of-law provisions.

20. Dispute Resolution

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be submitted to the exclusive jurisdiction of Courts of Beirut (Lebanon).

21. General

You agree that no joint venture, partnership, employment, or agency relationship exists between you and torch sal as a result of these Terms or use of the Site.
If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions in the agreement shall continue in effect.
The failure of torch sal to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of torch sal. Except as expressly set forth in these Terms, the exercise by either Party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

22. Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by torch sal (i) via email (in each case to the address that you provide) or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
